2.1 NovaLearn provides AI-powered creative solutions including design, writing, marketing, video production, branding, and web development services.

2.2 Our Services are available to individuals and businesses worldwide, subject to applicable laws and these Terms.

2.3 We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without notice.

3.1 You must be at least 18 years old or the age of majority in your jurisdiction to use our Services.

3.2 To access certain features, you may need to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.3 You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.4 We reserve the right to suspend or terminate your account if we believe you have violated these Terms or for any other reason at our sole discretion.

4.1 All content, designs, logos, trademarks, and intellectual property displayed on our Services are owned by NovaLearn or our licensors and protected by copyright, trademark, and other intellectual property laws.

4.2 Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal or business purposes.

4.3 You retain ownership of any content you submit to our Services ("User Content"), but by submitting User Content, you grant us a worldwide, royalty-free, perpetual license to use, modify, and distribute such content as part of our Services.

4.4 You represent and warrant that you have all rights necessary to grant the licenses in this section and that your User Content does not infringe any third-party rights.

5.1 You agree not to use the Services to:

• Violate any applicable laws or regulations
• Infringe the rights of others
• Upload or transmit harmful, illegal, or offensive content
• Interfere with or disrupt the Services
• Attempt to gain unauthorized access to our systems
• Use automated systems to access the Services without permission
• Impersonate any person or entity

5.2 We reserve the right to remove any User Content and terminate accounts that violate these Terms.

6.1 Our Services may require payment. All fees are non-refundable except as expressly stated in our refund policy.

6.2 You agree to pay all fees associated with your use of paid Services in accordance with our pricing terms.

6.3 We may change our pricing at any time, but price changes will not affect existing subscriptions unless we provide notice.

6.4 All payments are processed securely through our designated payment processors.

7.1 The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied.

7.2 We do not guarantee that the Services will be uninterrupted, error-free, or meet your specific requirements.

7.3 To the maximum extent permitted by law, NovaLearn shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

7.4 Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

8.1 You may stop using the Services at any time. We may suspend or terminate your access to the Services at any time, with or without cause.

8.2 Upon termination, your right to use the Services will immediately cease, and we may delete your account and User Content.

8.3 Sections of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, and limitations of liability.

9.1 These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law principles.

9.2 Any disputes arising from these Terms shall be resolved exclusively in the state or federal courts located in Sheridan County, Wyoming.

9.3 You agree to submit to the personal jurisdiction of such courts for any dispute resolution.

10.1 These Terms constitute the entire agreement between you and NovaLearn regarding the Services.

10.2 If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

10.3 Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

10.4 You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.

10.5 These Terms do not create any agency, partnership, joint venture, or employment relationship between you and NovaLearn.
